Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Togapa ("Togapa", "we", "us", "our"), a service owned and operated by DJ Graffiti LLC, 2232 S Main St #216, Ann Arbor, MI 48103, USA, and govern your use of the Togapa service at togapa.com and app.togapa.com and all related features (the "Service").

Please read the Privacy Policy alongside these Terms; it is incorporated by reference.

By creating an account, or by using the Service as a guest, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Togapa is a real-time song-request and voting platform for event hosts. Event hosts create events; guests scan a QR code or open a link to search, request, and vote on songs; the event host manages a live, vote-ranked queue from a dashboard, with an optional big-screen venue display, guest↔host messaging, branding, analytics, exports, and optional playlist export.

We may add, change, or remove features at any time. We aim to keep the Service available and reliable but provide it on an "as available" basis (see Section 10).

2. Who can use Togapa

  • Event Hosts / Account Holders must be at least 18 years old (or the age of majority where you live) and able to form a binding contract.
  • Guests may use an event without registering. Guests must be at least 16, or have the consent of a parent/guardian where required by local law. Event hosts are responsible for the suitability of their events for their audience.
  • You are responsible for everything done under your account and for keeping your login credentials confidential.

3. Accounts and authentication

  • You may sign up using email and password, or "Continue with Google".
  • You agree to provide accurate information and to keep it up to date.
  • Notify us promptly at support@iwantoverflow.com if you suspect unauthorised use of your account.
  • Guests join via an anonymous session; no password is created. Where an event host requires email verification, a one-time code may be sent to confirm the guest's email.

4. Acceptable use

You agree not to, and not to allow anyone to:

  • Submit, request, display, or transmit content that is unlawful, harassing, defamatory, hateful, obscene, infringing, or otherwise objectionable, including through song requests, guest names, profile fields, branding, or messages.
  • Use the Service to spam, send unsolicited marketing, or harvest contact details without a lawful basis and appropriate consent.
  • Impersonate any person, or misrepresent your affiliation with anyone.
  • Attempt to gain unauthorised access to the Service, other users' data, or our systems; probe, scan, or test the vulnerability of the Service without our written permission.
  • Interfere with or disrupt the Service (e.g. via overload, automated abuse, or circumventing rate limits, guest caps, or paywalls).
  • Reverse engineer, scrape, or build a competing product from the Service except to the extent this restriction is prohibited by law.
  • Use the Service to violate any applicable law, including music-licensing, intellectual property, privacy, anti-spam, and consumer-protection laws.

We may remove content, suspend events, and suspend or terminate accounts that violate these Terms (see Section 11).

5. Event host responsibilities for guest data and consent

If you are an event host, you control what guest information your events collect and how you use it. You agree that:

  • You will collect only the guest fields you genuinely need, display clear and accurate consent and terms wording to guests, and honour any opt-ins/opt-outs.
  • You are the data controller for your guests' personal data; Togapa acts as your processor for that data and will process it only to provide the Service and on your instructions, as described in the Privacy Policy.
  • You will comply with all privacy and marketing laws applicable to your guests (e.g. GDPR/UK GDPR, CAN-SPAM, CCPA/CPRA), including when you export and use guest data.
  • You have all necessary rights and licences to use any branding, images, logos, and content you upload, and to play or organise the music at your events. Togapa does not provide music-performance or licensing rights; obtaining any required licences (e.g. PRS/PPL, ASCAP/BMI/SESAC, or equivalent) is your responsibility.
  • You will not use exported guest data to sell or transfer personally identifiable data in a way that violates the consent your guests gave or applicable law.

6. Plans, billing, and payments

6.1 Plans

Togapa offers free and paid plans, including (as of the effective date): a Free tier; a one-time Event Pass; Pro (monthly/annual); Studio (monthly/annual); and add-ons such as Guest Packs. Plan features, guest caps, overage rates, and prices are shown in-app at checkout and may change; the prices presented to you at purchase apply to that purchase.

6.2 Payment

  • Payments are processed by Stripe. By purchasing, you also agree to Stripe's terms. We do not store your full card or bank details.
  • Subscriptions (Pro/Studio) renew automatically each billing period (monthly or annual) until cancelled. By subscribing, you authorise recurring charges to your payment method.
  • Overages (where applicable to your plan) may be billed when you exceed your plan's per-event guest cap, at the rate shown for your plan.
  • One-time purchases (Event Pass, Guest Packs) are charged once and are not recurring.
  • Prices exclude taxes unless stated; you are responsible for any applicable taxes.

6.3 Cancellation and refunds

  • You may cancel a subscription at any time via the billing portal; cancellation takes effect at the end of the current paid period, and you retain paid features until then.
  • Except where required by law, payments are non-refundable, and one-time purchases and partial periods are not refundable.
  • We may change prices on a prospective basis; we will give reasonable notice of changes to recurring charges, and continued use after a price change constitutes acceptance.

6.4 Free tier and trials

Free and trial use may be subject to limits (e.g. number of events, guest caps, and a "Powered by Togapa" watermark) and may be modified or discontinued at any time.

7. Your content and our content

7.1 Your content

You (and your guests) retain ownership of the content you submit — branding, profile details, messages, song requests, and guest data ("Your Content"). You grant Togapa a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, display, and process Your Content solely to operate and provide the Service to you. This licence ends when the content is deleted, except for residual backups and where retention is required by law.

7.2 Data export and ownership

You may download and export your event data (e.g. PDF reports, CSV files, and playlist exports). Once exported, you may use that data as you see fit, provided you comply with applicable law and with your guests' consent — including any privacy obligations you owe as the controller of guest personal data.

7.3 Our content

The Service itself — including Togapa's software, design, trademarks, and the "Togapa" name and logo — is owned by us or our licensors and is protected by intellectual-property laws. These Terms grant you a limited, revocable, non-transferable, non-exclusive right to use the Service; they do not transfer any ownership in it to you.

7.4 Third-party music data

Song titles, artwork, previews, and catalogue data are provided by third parties (e.g. Apple iTunes/Apple Music, Spotify) and are subject to those parties' terms. Togapa does not own or license the underlying music and grants you no rights in it.

8. Third-party services

The Service integrates with third parties including Supabase, Netlify, Stripe, Resend, Apple, Spotify, and Google. Your use of those integrations may be subject to their terms and privacy policies. We are not responsible for third-party services, and their availability is outside our control.

9. Privacy

Our collection and use of personal data is described in the Privacy Policy. Notably, Togapa does not sell personally identifiable user data and will not do so without your express permission. By using the Service you acknowledge the Privacy Policy.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, secure, or that real-time updates, third-party integrations, or exports will always be available or accurate. Some jurisdictions do not allow certain warranty exclusions, so parts of this section may not apply to you.

11. Suspension and termination

  • You may stop using the Service and delete your account at any time. Deleting your account removes your profile and cascades deletion to your events, requests, votes, messages, and guest contacts, subject to lawful retention (e.g. billing records).
  • We may suspend or terminate your access, with or without notice, if you breach these Terms, create risk or legal exposure for us or others, or for prolonged inactivity or non-payment.
  • On termination, your right to use the Service ends. Sections that by their nature should survive (e.g. 4, 5, 7, 9–14) will survive.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOGAPA AND ITS OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO TOGAPA IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 100.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law (such as for death or personal injury caused by negligence, or fraud).

13. Indemnity

You agree to indemnify and hold harmless Togapa and its officers, employees, and suppliers from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of: (a) your use of the Service; (b) Your Content; (c) your events and your handling of guest data; (d) your breach of these Terms or applicable law; or (e) your infringement of any third-party right, including music-licensing or intellectual-property rights.

14. Governing law and disputes

These Terms are governed by the laws of the State of Michigan, USA, without regard to its conflict-of-laws rules. You and Togapa agree to the exclusive jurisdiction of the state and federal courts located in the State of Michigan, USA for any dispute not subject to other agreed dispute-resolution, except that either party may seek injunctive relief in any court of competent jurisdiction. Nothing here removes any mandatory consumer-protection rights you have under the law of your country of residence.

15. Changes to these Terms

We may update these Terms from time to time. When we make material changes we will update the "Last updated" date and, where appropriate, notify account holders by email or in-app notice. Your continued use of the Service after changes take effect constitutes acceptance. If you do not agree, stop using the Service.

16. General

  • Entire agreement: These Terms and the Privacy Policy are the entire agreement between you and Togapa regarding the Service.
  • Severability: If any provision is unenforceable, the rest remains in effect.
  • No waiver: Our failure to enforce a provision is not a waiver of it.
  • Assignment: You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
